These Terms constitute a legally binding agreement between you and TheBestASR. We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the updated Terms.

2. Description of Service

TheBestASR provides an automatic speech recognition service that converts audio and video files into text using advanced machine learning technologies. Our Service includes:

• Audio and video file upload and processing
• Speech-to-text transcription
• Export of transcriptions in various formats (TXT, SRT)
• Account management and authentication

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information

• Any errors in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEBESTASR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL THEBESTASR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID, IF ANY, FOR USING THE SERVICE DURING THE PRECEDING TWELVE (12) MONTHS.

10. Indemnification

You agree to defend, indemnify, and hold harmless TheBestASR and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.

The following provisions will survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TheBestASR is established, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration in accordance with the rules of the arbitration association in our jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and TheBestASR regarding the Service and supersede all prior agreements between you and TheBestASR.

13.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms.

13.4 Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, or government regulations.
